Please read these Terms and Conditions (“Terms”) carefully before using the Ibuyfirst.ng website, platform, or any of our services. By accessing our website (www.ibuyfirst.ng), registering an account, or engaging any of our services, you agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our website or services.
1.1 In these Terms, unless the context otherwise requires, the following definitions apply:
1.2 Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to statutes include any amendments or re-enactments.
2.1 These Terms constitute a legally binding agreement between You and Ibuyfirst.ng.
2.2 By using our Platform or Services, You confirm that You have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific services.
2.3 The Company reserves the right to provide Services through subsidiaries, affiliates, or authorised third-party partners.
2.4 Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between You and the Company.
3.1 You must be at least 18 years of age and possess the legal capacity to enter into binding contracts under Nigerian law to use our Services.
3.2 If You are registering on behalf of a business or organisation, You warrant that You have the authority to bind that entity to these Terms.

3.4 The Company reserves the right to suspend or terminate any account that contains false, misleading, or incomplete information, or that violates these Terms.
3.5 You may not create more than one account per individual or entity without prior written consent from the Company.
4.1 Scope of Service. Our Foreign Exchange (“Forex”) services include currency exchange, international wire transfers, cross-border payments, and related financial advisory services.
4.2 Exchange Rates. Exchange rates are determined at the time of each transaction and are subject to market fluctuations. Rates displayed on the Platform are indicative and may differ from the final rate applied to Your transaction. The Company is not obligated to honour previously quoted rates if market conditions change before the transaction is executed.
4.3 Transaction Limits. The Company may impose minimum and maximum transaction limits in accordance with Central Bank of Nigeria (CBN) regulations and internal risk management policies.
4.4 Regulatory Compliance. All forex transactions are conducted in strict compliance with CBN guidelines, the Foreign Exchange (Monitoring and Miscellaneous Provisions) Act, and all applicable Nigerian and international financial regulations. You agree to provide all documentation required for Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance.
4.5 Processing Times. While We strive to process transactions within 24–72 hours, the Company does not guarantee specific processing times. Delays may occur due to intermediary banks, regulatory reviews, or circumstances beyond Our control.
4.6 Transaction Cancellation. Once a forex transaction has been initiated and funds have been debited, cancellation may not be possible. Where cancellation is permitted, applicable fees and exchange rate losses will be deducted from the refund.
4.7 Prohibited Transactions. You shall not use Our forex services for any illegal purpose, including but not limited to money laundering, terrorism financing, tax evasion, or circumvention of sanctions imposed by any governmental authority.
5.1 Scope of Service. Our Property & Construction services include residential and commercial property development, construction project management, architectural design, property sales, and investment advisory.
5.2 Property Sales. All property sales are subject to separate Sale Agreements or Deeds of Assignment, which shall take precedence over these Terms in the event of any conflict regarding a specific property transaction.
5.3 Payment Plans. Where flexible payment plans are offered, the specific terms (including instalment amounts, due dates, interest, and default penalties) will be outlined in a separate payment schedule. Failure to adhere to the payment schedule may result in forfeiture of the property or applicable penalties as stipulated in the Sale Agreement.
5.4 Construction Timelines. Estimated project completion dates are provided in good faith but are not guaranteed. Delays caused by weather, supply chain disruptions, regulatory approvals, labour disputes, or force majeure events shall not constitute a breach of contract.
5.5 Quality Standards. All construction work is carried out in accordance with Nigerian building codes, industry best practices, and the specifications agreed upon in the project contract. The Company provides a structural warranty for a period specified in the individual project agreement.
5.6 Property Investment Advisory. Any investment advice provided by the Company is for informational purposes and does not constitute a guarantee of returns. Property investments carry inherent risks, and past performance is not indicative of future results.
5.7 Site Visits & Inspections. Clients are encouraged to conduct independent due diligence, including site visits and legal verification of property titles, before committing to any property transaction.
6.1 Scope of Service. Our Import & Export services include international sourcing, freight forwarding, shipping logistics, customs clearance, warehousing, and global trade advisory.
6.2 Sourcing & Procurement. When acting as a sourcing agent, the Company will use reasonable efforts to identify reliable suppliers and negotiate favourable terms on Your behalf. However, the Company does not manufacture products and is not liable for manufacturing defects unless explicitly agreed otherwise in writing.
6.3 Shipping & Delivery. Estimated shipping times are approximate and depend on the origin, destination, shipping method (air, sea, or land), customs processing, and other logistical factors. The Company is not liable for delays caused by carriers, port authorities, customs agencies, or force majeure events.
6.4 Customs Clearance. The Company will assist with customs documentation and clearance procedures. You are responsible for ensuring that all imported or exported goods comply with Nigerian customs regulations, including the payment of applicable duties, levies, and taxes.
6.5 Prohibited & Restricted Goods. You shall not use Our services to import or export goods that are prohibited or restricted under Nigerian law or the laws of the origin/destination country. This includes but is not limited to narcotics, counterfeit goods, weapons, and hazardous materials without proper authorisation.
6.6 Cargo Insurance. The Company strongly recommends that all clients obtain cargo insurance for international shipments. The Company is not liable for loss, damage, or theft of goods in transit unless such loss results from Our gross negligence and is covered under a separate insurance arrangement.
6.7 Warehousing. Where warehousing services are provided, goods are stored at the client’s risk. The Company’s liability for stored goods is limited to the value of the warehousing fees paid, unless a separate storage agreement specifies otherwise.
7.1 Scope of Service. The Ibuyfirst.ng E-Commerce platform is an online marketplace where vendors (“Sellers”) can list and sell products, and customers (“Buyers”) can purchase products with nationwide delivery across Nigeria.

7.4 Product Liability. The Company acts as an intermediary marketplace and is not the manufacturer or primary seller of products listed by third-party Sellers. Product liability claims should be directed to the respective Seller, though the Company will assist in dispute resolution where appropriate.
7.5 Returns & Refunds. Returns and refunds are subject to Our Return Policy, which is incorporated into these Terms by reference. Generally, items must be returned in their original condition within the specified return window.
8.1 Accepted Payment Methods. The Company accepts payments via bank transfers, debit/credit cards, and other approved online payment gateways. Specific payment methods may vary by service.
8.2 Fees & Charges. All applicable fees, commissions, service charges, and taxes will be clearly communicated before the completion of any transaction. The Company reserves the right to update its fee structure with reasonable notice.
8.3 Currency. All prices and fees are denominated in Nigerian Naira (NGN) unless otherwise stated. For international transactions, applicable exchange rates and conversion fees will apply.
8.4 Late Payments. Failure to make payments by the agreed due date may result in late fees, interest charges, suspension of services, or termination of the Agreement, as specified in the relevant service contract.
8.5 Refunds. Refund eligibility and processing times vary by service:
8.6 Chargebacks. Initiating a chargeback without first attempting to resolve the issue with the Company may result in the immediate suspension of Your account and Services.

10.1 All Content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the overall design and layout, is the property of Ibuyfirst.ng or its content suppliers and is protected by Nigerian and international copyright, trademark, and intellectual property laws.
10.2 The trademarks “Ibuyfirst.ng,” “ibuyfirst,” and the “ib” logo are registered or unregistered trademarks of the Company and may not be used without prior written permission.
10.3 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.
10.4 You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Content without the express written consent of the Company.
11.1 Your use of the Platform and Services is also governed by Our Privacy Policy, which is incorporated into these Terms by reference.
11.2 The Company collects, processes, and stores personal data in compliance with the Nigeria Data Protection Act (NDPA) 2023 and other applicable data protection regulations.
11.3 By using Our Services, You consent to the collection and processing of Your personal data as described in the Privacy Policy, including for KYC/AML compliance, transaction processing, service delivery, and communication purposes.
11.4 The Company implements industry-standard security measures to protect Your data but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of Your account credentials.
12.1 To the maximum extent permitted by applicable law, the Company, its directors, officers, employees, agents, partners, and affiliates shall NOT be liable for:
12.2 The Company’s total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount You paid to the Company for the specific service giving rise to the claim in the twelve (12) months preceding the claim.
12.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Nigerian law.
13.1 You agree to indemnify, defend, and hold harmless Ibuyfirst.ng, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
14.1 The Platform and Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.
14.2 The Company does not warrant that:
14.3 The Company disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
14.4 Any reliance You place on information, advice, or Content provided through the Platform is strictly at Your own risk.
15.1 The Company shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to:
15.2 The affected party shall notify the other party as soon as reasonably practicable and use reasonable efforts to mitigate the impact of the force majeure event.
16.1 By the Company. The Company reserves the right to suspend or terminate Your access to the Platform or Services at any time, with or without cause, and with or without notice, including but not limited to:
16.2 By You. You may terminate Your account or discontinue use of the Services at any time by notifying the Company in writing. Termination does not relieve You of any outstanding obligations, including unpaid fees.
16.3 Effect of Termination. Upon termination:
17.1 Informal Resolution. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the matter amicably through good-faith negotiation within thirty (30) days of written notice of the dispute.
17.2 Mediation. If informal resolution fails, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in Kano, Nigeria, before initiating any formal legal proceedings.
17.3 Arbitration. If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration under the Arbitration and Mediation Act 2023 of Nigeria. The arbitration shall be conducted in English in Kano, Nigeria, by a single arbitrator appointed in accordance with the Act.
17.4 Exceptions. Notwithstanding the above, either party may seek injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
18.1 These Terms and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
18.2 Subject to the dispute resolution provisions in Section 17, the courts of competent jurisdiction in Kano State, Nigeria shall have exclusive jurisdiction over any legal proceedings arising from these Terms.
19.1 The Company reserves the right to modify, update, or amend these Terms at any time at its sole discretion.
19.2 Material changes will be communicated to Users via email, in-app notification, or a prominent notice on the Platform at least thirty (30) days before the changes take effect.
19.3 Your continued use of the Platform or Services after the effective date of any amendments constitutes Your acceptance of the revised Terms. If You do not agree with the changes, You must cease using the Platform and terminate Your account.
19.4 The “Last Updated” date at the top of this document indicates when the most recent revision was made.
20.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
21.1 These Terms, together with the Privacy Policy, any service-specific agreements, and any other documents referenced herein, constitute the entire agreement between You and Ibuyfirst.ng regarding the subject matter and supersede all prior or contemporaneous agreements, representations, and understandings, whether oral or written.
21.2 No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorised representative of the Company.
